Previews Affiliate Program Terms & Conditions

1. Definitions

For the purposes of these Terms, the following definitions apply:

• "Previews," "we," "us," or "our" refers to the Previews application and service operated by the owner of previews-app.com.
• "Affiliate," "you," or "your" refers to any individual or entity who has been approved to participate in the Previews Affiliate Program.
• "Promo Code" refers to the unique promotional code assigned to you for tracking referrals and sales.
• "Customer" or "Subscriber" refers to any individual who purchases a Previews subscription using your Promo Code.
• "Commission" refers to the percentage of revenue you earn from qualifying purchases made using your Promo Code.
• "Dashboard" refers to the affiliate portal where you can view your performance, earnings, and request payouts.

2. Eligibility & Application

2.1 Eligibility Requirements

To be eligible for the Previews Affiliate Program, you must:

• Have a minimum of 500 followers or users on at least one platform (streaming channel, social media, website, software product, etc.).
• Have a legitimate online presence where you can authentically promote Previews (streaming channel, social media account, website, software product, etc.).
• Be at least 18 years of age or the age of majority in your jurisdiction.
• Have a valid PayPal account for receiving payments.
• Comply with all applicable laws and regulations in your jurisdiction.
• Not be located in a country where PayPal services are unavailable or restricted.

2.2 Application Process

• All applications are manually reviewed, typically within 48 hours of submission.
• You will be notified via email once your application has been reviewed.
• We reserve the right to approve or reject any application at our sole discretion without providing a reason.
• Providing false or misleading information in your application may result in immediate rejection or termination from the Program.

2.3 Account Activation

Upon approval, you will receive:

• A unique Promo Code for tracking your referrals.
• Access to your Affiliate Dashboard.
• A complimentary personal Previews subscription (subject to Section 9).
• Marketing materials and resources to help promote Previews.

3. Commission Structure

3.1 Commission Rate

Affiliates earn a 20% commission on all qualifying purchases made using their Promo Code. The commission rate in effect at the time of the customer's purchase will apply to that transaction and all subsequent recurring payments from that customer, regardless of any future changes to the Program's commission structure.

3.2 Qualifying Purchases

You earn commission on all subscription purchases made using your Promo Code, including:

• Monthly Recurring Subscriptions: You earn 20% commission on the initial payment and every subsequent monthly renewal for as long as the customer remains subscribed.
• One-Time Payment Subscriptions: You earn 20% commission on the full purchase amount for any one-time payment subscription (1, 3, 6, or 12-month durations).
• All Subscription Types: Your Promo Code tracks all purchases, whether the customer uses your discount code or purchases at full price.

3.3 Transaction Fees

Previews covers all PayPal transaction fees (approximately 8% of each payment) on customer purchases. You receive your full 20% commission on the gross payment amount. However, you are responsible for any fees associated with receiving your payout via PayPal (typically 2.9% + $0.30 per transaction).

3.4 Commission Calculation

Your commission is calculated as follows:

• Commission = Customer Payment Amount × Your Commission Rate (locked in at time of purchase)
• Example: If a customer pays $10.00 for a monthly subscription using your code with a 20% commission rate, you earn $2.00 for that payment and $2.00 for each subsequent monthly auto-renewal.

4. Payment Terms

4.1 Clearance Period

All customer payments must clear a 21-day hold period before becoming eligible for payout. This clearance period protects against chargebacks, payment disputes, and refunds. During this period, your earnings will be shown as "Pending Clearance" in your Dashboard.

4.2 Available for Payout

Once the 21-day clearance period has passed and the customer payment remains valid (not refunded, reversed, or disputed), your commission becomes "Available for Payout" and can be included in a payout request.

4.3 Payout Method

• All payouts are made via PayPal to the email address associated with your affiliate account.
• You are responsible for maintaining a valid and active PayPal account.
• It is your responsibility to ensure that your PayPal account can receive payments from your jurisdiction.

4.4 Minimum Payout

There is no minimum payout amount. However, we recommend considering PayPal's receiving fees (typically 2.9% + $0.30) when requesting smaller payouts, as these fees will be automatically deducted by PayPal from your payout.

4.5 Payout Process

• You may request a payout through your Affiliate Dashboard at any time for your available balance.
• Each payout request will include all eligible commissions (those that have cleared the 21-day hold period and have not been previously paid out).
• You may only have one pending payout request at a time.
• All payout requests are manually reviewed and processed.
• Payouts are typically processed within up to 5 business days of request, but may take longer during high-volume periods.
• You will receive a notification once your payout has been sent.

4.6 Payout Status

Your payout requests may have the following statuses:

• Requested: Your payout request has been submitted and is awaiting processing.
• Processing: Your payout is being prepared for payment.
• Completed: The payout has been sent to your PayPal account.
• Failed: The payout could not be completed (e.g., invalid PayPal account).
• Cancelled: The payout request was cancelled by you or Previews.

5. Refunds, Chargebacks, and Reversals

5.1 Impact on Commission

5.2 Deduction from Future Payouts

If a commission has already been paid out to you for a payment that is subsequently refunded, reversed, or charged back, the commission amount will be deducted from your next payout. This ensures that you only earn commission on completed, non-refunded transactions.

5.3 Negative Balance

If refunds or chargebacks result in a negative balance in your account, it will be deducted from your next payout.

5.4 Payment Status Tracking

Your Dashboard will clearly display the status of all customer payments, including those marked as "Refunded" or "Reversed." These payments will not count toward your available or pending earnings.

6. Promotional Guidelines

6.1 Permitted Promotional Methods

You may promote Previews using your unique Promo Code through the following methods:

• Social media posts (Twitter, Instagram, TikTok, Facebook, etc.).
• Live streaming (Twitch, YouTube, Kick, etc.) with your code displayed on-screen or in chat.
• Video content (YouTube videos, tutorials, reviews, etc.).
• Blog posts, articles, or written content on your website.
• Email newsletters to your subscriber list (no spam).
• Discord servers, community forums, or chat platforms.
• Software applications, browser extensions, or tools you develop (with cross-promotion).

6.2 Prohibited Promotional Methods

You may NOT promote Previews using the following methods:

• Spam: Unsolicited emails, messages, or comments.
• Misleading Claims: False advertising, exaggerated claims, or misrepresentation of Previews' features or capabilities.
• Fraudulent Activity: Self-referrals, fake accounts, bot traffic, or any attempt to artificially inflate your earnings.
• Negative Promotion: Disparaging Previews, its competitors, or engaging in unethical comparison practices.
• Adult or Illegal Content: Promoting Previews alongside adult content, illegal activities, or content that violates our Terms of Service.
• Paid Search Advertising: Bidding on "Previews" or related branded keywords in Google Ads, Bing Ads, or other paid search platforms without prior written approval.

6.3 Brand Representation

• You must accurately represent Previews and its features. Do not make false claims or promises.
• You should disclose your affiliate relationship when promoting Previews, in compliance with applicable advertising disclosure laws (e.g., FTC guidelines in the United States).
• You may use the marketing materials provided in your Dashboard, but may not alter or modify Previews' branding, logos, or trademarks without written permission.

6.4 Content Standards

All promotional content must:

• Comply with all applicable laws and regulations.
• Not contain offensive, discriminatory, or harmful material.
• Be appropriate for all audiences (Previews is a general audience product).
• Not violate any third-party intellectual property rights.

7. Tracking and Reporting

7.1 Promo Code Tracking

All referrals and sales are tracked through your unique Promo Code. When a customer enters your Promo Code during checkout on the Previews subscription page, their purchase is attributed to you and your commission is calculated and recorded.

7.2 Dashboard Access

You will have access to an Affiliate Dashboard where you can:

• View real-time performance data and earnings.
• Track individual customer transactions.
• Monitor payments in clearance and available for payout.
• Request payouts.
• View your payout history.
• Export transaction data for your records.
• Access marketing materials and your personal subscription code.

7.3 Data Accuracy

While we strive to provide accurate real-time data, the information displayed in your Dashboard is for informational purposes only. Previews reserves the right to correct any errors, discrepancies, or inaccuracies in reporting or payment calculations.

7.4 Session Management

Dashboard access is provided through secure login codes sent to your registered email address. Each login session expires after 15 minutes and can be extended as needed. You are responsible for maintaining the confidentiality of your login credentials.

8. Intellectual Property

8.1 License Grant

Previews grants you a limited, non-exclusive, non-transferable, revocable license to use Previews' trademarks, logos, and promotional materials solely for the purpose of promoting Previews as an affiliate in accordance with these Terms.

8.2 Ownership

All intellectual property rights in Previews, including but not limited to trademarks, logos, software, content, and promotional materials, remain the exclusive property of Previews. You acquire no ownership rights by participating in the Program.

8.3 Restrictions

• You may not use Previews' intellectual property in any manner that implies endorsement, partnership, or affiliation beyond your role as an affiliate.
• You may not register domain names, social media accounts, or other assets containing "Previews" or confusingly similar terms.
• You may not modify, alter, or create derivative works of Previews' promotional materials without written permission.

9. Complimentary Affiliate Subscription

9.1 Initial Grant

Upon approval as an affiliate, you will receive a complimentary personal Previews subscription for your own use. This subscription is active for the first 90 days from the date of your affiliate approval.

9.2 Ongoing Eligibility

After the initial 90-day period, your complimentary subscription will remain active if you maintain 5 or more active subscribers who used your Promo Code to purchase a Previews subscription.

9.3 Monthly Evaluation

• Your active subscriber count is evaluated once per month after the initial 90-day period.
• An "active subscriber" is defined as a customer who has an active, paid Previews subscription that was purchased using your Promo Code.
• If you fall below 5 active subscribers during a monthly evaluation, your complimentary subscription may be suspended until you meet the requirement again.

9.4 Personal Use Only

Your complimentary subscription is for your personal use only and may not be transferred, sold, or given to another person. The purpose of this subscription is to allow you to experience and demonstrate Previews to your audience.

9.5 Termination of Subscription

If your affiliate account is terminated or suspended for any reason, your complimentary subscription will also be terminated immediately, regardless of your active subscriber count.

10. Tax Responsibilities

10.1 Tax Reporting

• You are responsible for reporting all income earned through the Previews Affiliate Program to the appropriate tax authorities in your jurisdiction.
• Previews does not withhold any taxes from your commission payments.
• You are responsible for paying all applicable income taxes, value-added taxes (VAT), goods and services taxes (GST), or other taxes on your affiliate earnings.

10.2 Tax Forms

Depending on your location and earnings, Previews may be required to collect tax information from you (such as a W-9 form for U.S. affiliates or other tax documentation for international affiliates). You agree to provide such information promptly upon request.

10.3 Independent Contractor Status

You are an independent contractor and not an employee of Previews. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between you and Previews. You are not entitled to any employee benefits.

11. Term and Termination

11.1 Term

These Terms become effective on the date of your approval into the Program and continue until terminated by either party in accordance with this section.

11.2 Termination by You

You may terminate your participation in the Program at any time by sending written notice to Previews via email. Upon termination:

• Your Promo Code will be deactivated and will no longer generate commissions.
• You will forfeit any unpaid commissions that have not cleared the 21-day hold period.
• You may request a final payout of any available (cleared) balance in accordance with Section 4.
• Your access to the Dashboard will be revoked.
• Your complimentary subscription will be terminated.

11.3 Termination by Previews

Previews may terminate or suspend your participation in the Program at any time, with or without cause, and with or without notice. Grounds for immediate termination include, but are not limited to:

• Violation of any provision of these Terms.
• Engaging in fraudulent, deceptive, or unethical promotional practices.
• Use of prohibited promotional methods outlined in Section 6.2.
• Providing false or misleading information during application or participation.
• Failure to comply with applicable laws and regulations.
• Inactivity for more than 12 consecutive months.
• Any conduct that Previews determines, in its sole discretion, is harmful to the reputation or interests of Previews.

11.4 Effect of Termination

Upon termination of your participation in the Program:

• All licenses granted to you under these Terms will immediately terminate.
• You must immediately cease all use of Previews' trademarks, logos, and promotional materials.
• You must remove all references to the Previews Affiliate Program from your promotional channels.
• Previews will pay out any eligible commissions (those that have cleared the 21-day hold period), minus any outstanding negative balances, refund adjustments, or amounts owed to Previews.
• Any pending commissions that have not cleared the 21-day hold period will be forfeited.
• Your complimentary subscription will be terminated immediately.

11.5 Survival

The following sections will survive termination of these Terms: Sections 5 (Refunds, Chargebacks, and Reversals), 8 (Intellectual Property), 10 (Tax Responsibilities), 12 (Limitation of Liability), 13 (Indemnification), 15 (Confidentiality), and 17 (General Provisions).

12. Limitation of Liability

12.1 No Warranties

THE PREVIEWS AFFILIATE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 Limitation of Damages

IN NO EVENT SHALL PREVIEWS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM, EVEN IF PREVIEWS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Maximum Liability

PREVIEWS' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR PARTICIPATION IN THE PROGRAM SHALL NOT EXCEED THE TOTAL AMOUNT OF COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12.4 Third-Party Services

Previews is not responsible for any issues, delays, or failures related to third-party services such as PayPal. You acknowledge that payout processing is dependent on third-party payment processors and agree to resolve any payment processing issues directly with those third parties.

13. Indemnification

You agree to indemnify, defend, and hold harmless Previews, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your breach of these Terms.
• Your use of Previews' trademarks, logos, or promotional materials.
• Your promotional activities in connection with the Program.
• Any violation of applicable laws or regulations.
• Any claims that your promotional content infringes or violates any third-party intellectual property rights or other rights.
• Any fraudulent, deceptive, or unethical conduct.

14. Modifications to the Program

14.1 Changes to Terms

Previews reserves the right to modify, update, or amend these Terms at any time. We will notify you of material changes by email or by posting a notice in your Affiliate Dashboard. Your continued participation in the Program after such notification constitutes your acceptance of the modified Terms.

14.2 Changes to Commission Structure

Previews may, at its sole discretion, modify revenue share or commission rates at any time. Any change will take effect on the date stated by Previews and will apply to all payments made using your affiliate code from that effective date onward (including recurring payments from existing customers). Changes will not apply to payments made before the effective date. Previews may notify you by email, dashboard notice, or other communication, but is not required to provide advance notice.

14.3 Changes to Program Features

Previews may modify, suspend, or discontinue any aspect of the Program at any time, including but not limited to promotional materials, dashboard features, or payout methods. We will make reasonable efforts to notify you of such changes in advance.

15. Confidentiality

15.1 Confidential Information

During your participation in the Program, you may have access to confidential information, including but not limited to:

• Program terms, commission rates, and payout structures not publicly disclosed.
• Sales data, customer information, and proprietary business information visible in your Dashboard.
• Marketing strategies, promotional materials, and business plans shared with you.

15.2 Obligations

You agree to:

• Keep all confidential information strictly confidential and not disclose it to any third party.
• Use confidential information solely for the purpose of participating in the Program.
• Not use confidential information for your own benefit or the benefit of any third party outside the scope of the Program.

15.3 Exceptions

The confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach of these Terms by you.
• Is lawfully obtained by you from a third party without breach of any confidentiality obligation.
• Is independently developed by you without use of or reference to the confidential information.
• Is required to be disclosed by law, court order, or government regulation (provided you notify Previews in advance if legally permitted).

16. Privacy and Data Protection

16.1 Data Collection

By participating in the Program, you consent to Previews collecting, processing, and storing the following information:

• Your name, email address, country of residence, and payment information.
• Your website URLs, social media profiles, and other promotional channels.
• Transaction data, including customer purchases made with your Promo Code.
• Dashboard activity, login history, and usage data.

16.2 Data Use

Previews will use your information to:

• Administer the Program and process your commission payments.
• Communicate with you regarding your affiliate account and Program updates.
• Analyze Program performance and improve affiliate services.
• Comply with legal and regulatory requirements.

16.3 Data Security

Previews implements reasonable security measures to protect your personal information. However, you acknowledge that no method of transmission or storage is 100% secure, and Previews cannot guarantee absolute security of your data.

16.4 Third-Party Access

Previews may share your information with third-party service providers (such as PayPal for payment processing) as necessary to administer the Program. Previews will not sell, rent, or share your personal information with third parties for their marketing purposes without your explicit consent.

16.5 General Terms of Service and Privacy Policy

In addition to these Affiliate Program Terms & Conditions, you are also subject to the general Previews Terms of Service and Privacy Policy (if applicable). In the event of a conflict between this Affiliate Agreement and the general Terms of Service or Privacy Policy, this Affiliate Agreement shall prevail with respect to affiliate-specific matters.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the general Previews Terms of Service, constitute the entire agreement between you and Previews regarding your participation in the Program and supersede all prior or contemporaneous agreements, understandings, and communications, whether oral or written.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

No waiver by Previews of any breach or default of these Terms shall be deemed a waiver of any subsequent breach or default. Previews' failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without Previews' prior written consent. Previews may freely assign these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.

17.5 Relationship of the Parties

You and Previews are independent contractors. Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, or agency relationship. You have no authority to bind Previews or make commitments on Previews' behalf.

17.6 Force Majeure

Previews shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, governmental actions, internet or telecommunications failures, or third-party service interruptions.

17.7 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Previews' location jurisdiction, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Previews' location jurisdiction.

17.8 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your participation in the Program, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved within 30 days, either party may pursue legal remedies as provided herein.

17.9 Language

These Terms are written in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.

17.10 Notices

All notices required or permitted under these Terms shall be in writing and delivered to the email address associated with your affiliate account (for notices to you) or to the Previews support email (for notices to Previews). Notices are deemed received when sent via email.

17.11 Headings

The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
